IMPORTANT — PLEASE READ CAREFULLY. THIS IS A BINDING LEGAL AGREEMENT.

These Website Terms of Service (this “Agreement”) set out the conditions governing your access to and use of the website at www.thegarage.sg, including all pages, features, content, services, applications, and functions made available through it (collectively, the “Site”), as well as any related microsites or platforms operated by The Garage (as defined below). This Agreement is entered into between 1-Garage Pte Ltd (UEN: 201609042E) (“The Garage”, “we”, “us” or “our”) and you, whether you are using the Site personally, on behalf of another individual, or representing an organisation (“you”).

By accessing, browsing, interacting with, submitting information to, or making any reservations or transactions through the Site (each a “Use”), you confirm that you have read, understood, and agreed to be bound by this Agreement and our Privacy Notice (available at https://thegarage.sg/privacy-policy/). If you do not agree with any part of these terms, you must discontinue use of the Site immediately.

We may revise, update, or otherwise amend this Agreement at any time at our sole discretion. Any changes will take effect once published on the Site unless otherwise stated. Your continued use of the Site after such updates constitutes acceptance of the revised terms. We encourage you to review this Agreement periodically.

Additional terms may apply to certain services or transactions, including but not limited to reservations, private events, weddings, gift vouchers, or participation in the 1-Insider loyalty programme. Where applicable, such additional terms will supplement and form part of this Agreement.

1. Who We Are

The Garage is a Singapore-based hospitality operator managing restaurants, cafés, and event venues. Any reference in this Agreement to “The Garage” includes 1-Garage Pte Ltd and any affiliated operating entities responsible for our venues and brands (collectively, the “Venues”).

Our Venues currently include:
– Wildseed Cafe (The Garage)
– il Giardino (The Garage)

2. Eligibility

To use the Site, you confirm that:
– you are at least 18 years old;
– you are legally capable of entering into binding agreements; and
– you will comply with all applicable laws and regulations in Singapore.

By continuing to use the Site, you represent that these conditions are met. If not, you are not permitted to access or use the Site.

3. Site Content and Intellectual Property

All materials available on the Site—including text, graphics, images, audio, video, design elements, menus, branding, and software (collectively, “Content”)—are owned or licensed by The Garage. 

Subject to compliance with this Agreement, we grant you a limited, revocable, non-transferable licence to access and view the Site for personal and non-commercial purposes only.

You must not copy, distribute, modify, publish, transmit, sell, or otherwise exploit any Content without our prior written consent, except where explicitly allowed under this Agreement.

Trademarks

The Site may display trademarks, logos, and brand identifiers owned or used by The Garage, including “The Garage”, “Wildseed Cafe”, “il Giardino”, and other venue names (collectively, the “Marks”). These Marks are protected under applicable intellectual property laws. No licence or right is granted for their use without prior written approval.

4. Restrictions on Use

In addition to other obligations in this Agreement, you agree not to:
– use bots, crawlers, scrapers, or automated systems to access or extract Site content;
– introduce malware, viruses, or other harmful code;
– attempt to reverse engineer or interfere with Site functionality;
– circumvent security measures or access restrictions;
– use the Site in violation of the Computer Misuse Act 1993 (Singapore);
– send spam or unsolicited communications in breach of the Spam Control Act 2007;
– collect personal data of other users without lawful basis and consent under the Personal Data Protection Act 2012;
– engage in deep-linking, framing, or – mirroring of the Site without permission;
– misrepresent your identity or affiliation; or
– use the Site for unlawful, fraudulent, defamatory, or abusive purposes.

We reserve the right to suspend or terminate access if these restrictions are violated.

5. Reservations and Bookings

When making bookings or reservations via the Site, you agree to provide accurate details and only make legitimate reservations in good faith.

You must not resell, transfer, or commercially exploit any reservation without prior written approval. Speculative, duplicate, or fraudulent bookings are strictly prohibited.

All reservations are subject to venue-specific policies, including cancellation rules, deposits, minimum spend requirements, and no-show conditions. These terms will be presented at the time of booking and form part of this Agreement.

We may cancel or amend reservations where necessary, including in cases of suspected fraud, system errors, or policy breaches.

6. Accounts and Passwords

Certain services, such as the 1-Insider loyalty programme and booking features, may require account registration and login credentials (“Credentials”).

You are responsible for safeguarding your Credentials and for all activity under your account. If you suspect unauthorised access, you must notify us immediately.

We may suspend or close accounts where we detect suspicious activity, policy violations, or security risks.

7. Your Communications and User Content

Any feedback, submissions, reviews, images, ideas, or other content you provide (“Communications”) may be used by The Garage for operational, promotional, or marketing purposes.

By submitting Communications, you grant us a worldwide, perpetual, royalty-free licence to use, reproduce, modify, adapt, publish, translate, and distribute such content in any media.

You confirm that you own or have the rights to any content you submit and that it does not infringe any third-party rights. We may remove or edit submitted content at our discretion.

Please avoid sending confidential information through unsecured channels.

8. Third-Party Sites and Links

The Site may include links to external platforms or services operated by third parties, including booking engines, payment providers, and social media platforms.

We do not control or endorse these third-party websites and are not responsible for their content, policies, or practices. Accessing them is at your own risk and subject to their own terms.

9. Accessibility

We aim to make the Site accessible to all users, including persons with disabilities. If you encounter accessibility issues, please contact us at enquiry@thegarage.sg and we will take reasonable steps to address them.

10. Our Right to Make Changes

We may update, modify, or remove any part of the Site or its content at any time without prior notice. This includes changes to menus, pricing, availability, venue operations, and event programming.

Where you already have a confirmed booking, such changes will not override your existing contractual rights unless specified in the relevant booking terms.

11. Indemnification

You agree to indemnify and hold harmless The Garage and its affiliates, officers, employees, and representatives from any claims, damages, liabilities, losses, or expenses arising from:
– your use of the Site;
– your breach of this Agreement;
– your submitted content;
– your violation of any law or third-party rights; or
– any misuse of your account credentials.

12. Disclaimers and Limitation of Liability

Disclaimers

The Site and all Content are provided on an “as is” and “as available” basis. We do not guarantee uninterrupted access, accuracy, or error-free operation. To the fullest extent permitted by law, all warranties are disclaimed.

Limitation of liability

We are not liable for indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities.

Our total liability in relation to any claim is limited to S$100 or the amount paid by you in the preceding 12 months, whichever is higher.

We are not responsible for third-party goods or services accessed via the Site.

Non-excludable liability

Nothing in this Agreement excludes liability where it is unlawful to do so under Singapore law, including for fraud or personal injury caused by negligence.

13. Privacy

Your personal data is collected and handled in accordance with our Privacy Notice, available at https://thegarage.sg/privacy-policy/, which forms part of this Agreement.

14. Notice of Intellectual-Property Infringement

If you believe any content on the Site infringes your intellectual property rights, you may notify us with relevant details including identification of the material, supporting ownership information, and your contact details.

15. No Agency

Nothing in this Agreement creates any employment, agency, partnership, or joint venture relationship between you and The Garage. Both parties remain independent entities.

16. Dispute Resolution

If a dispute arises, both parties agree to first attempt an amicable resolution by contacting us at compliance@1-group.sg

If unresolved within 60 days, the matter may be referred to mediation through the Singapore Mediation Centre if mutually agreed.

Failing resolution, disputes will be subject to the exclusive jurisdiction of the courts of Singapore, unless urgent injunctive relief is required.

17. Governing Law and Jurisdiction

This Agreement is governed by the laws of Singapore.

All disputes shall be subject to the exclusive jurisdiction of Singapore courts.

18. General Provisions

Severability

If any part of this Agreement is determined by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be removed to the extent necessary. The remainder of the Agreement will continue to remain valid and fully enforceable.

Entire agreement

This Agreement, together with the Privacy Notice and any additional terms that apply to specific services, bookings, or transactions made through the Site, represents the complete agreement between you and us regarding its subject matter. It replaces and supersedes all prior discussions, agreements, or understandings, whether written or verbal.

No waiver

Any delay or failure by us to exercise any right, power, or remedy under this Agreement shall not be considered a waiver of that right. Any waiver will only be valid if it is provided in writing and signed by an authorised representative of The Garage.

Assignment

You are not permitted to assign, transfer, or delegate your rights or obligations under this Agreement without obtaining our prior written approval. We may freely assign, transfer, or delegate our rights and obligations to any affiliated company or in connection with a merger, acquisition, restructuring, or sale of business assets.

Electronic notices

We may issue notices under this Agreement by sending an email to the address you have provided, or by posting updates on the Site. Any notices you send to us must be directed via email to compliance@1-group.sg or delivered in writing to our registered address listed below.

Third parties

Unless expressly stated otherwise in this Agreement, no person who is not a party to it has any right under the Contracts (Rights of Third Parties) Act 2001 to enforce any of its terms.

Survival

The following sections shall continue to apply even after termination or expiry of this Agreement: Sections 3 (Site Content and Intellectual Property), 7 (Your Communications), 11 (Indemnification), 12 (Disclaimers and Limitation of Liability), 16 (Dispute Resolution), 17 (Governing Law and Jurisdiction), and 18 (General Provisions).
